1. Introduction and Acceptance

Welcome to Heroprox ("we," "our," or "us"). These Terms of Service ("Terms") govern your use of our website, mobile application, and services (collectively, the "Service") operated by Heroprox Inc.

By accessing or using our Service, you agree to be bound by these Terms. If you disagree with any part of these terms, then you may not access the Service.

2. How the Platform Works

Heroprox is a marketplace that connects customers ("Service Requesters") with independent service providers ("Professionals"). We provide the technology and tools that make it easy to discover, compare, and contact professionals — but we are not a party to the service agreement that is ultimately formed between a customer and a professional.

2.1 The Booking Flow

1. Browse & Search. Customers explore professional profiles, services, ratings, and reviews.
2. Request a Quote. The customer submits a quote request describing the job and (optionally) their offered price.
3. Quote Response. The professional reviews the request and either sends a price, accepts the customer's offer, sends a counter-offer, or declines.
4. Customer Approval. The customer approves, requests a price update, or declines the quote.
5. Booking Confirmed. Once the customer approves the quote, a booking is created and added to both parties' calendars. The professional and customer can then contact each other directly to coordinate the service.
6. Post-Service Review. One day after the scheduled service, the customer receives a short survey to rate their experience.

Professionals listed on Heroprox are independent contractors, not employees or agents of Heroprox. Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between Heroprox and any professional or customer.

2.4 Verification & the Hero Badge

Some professionals may display a "Verified" or "Hero" badge. These badges are informational only — they reflect, respectively, that we have performed basic identity checks and that the professional has maintained a customer rating of 4.5 stars or higher. Badges do not constitute a warranty by Heroprox of the professional's work, qualifications, or ongoing conduct, and customers remain responsible for evaluating any professional before hiring.

3. User Accounts

3.1 Account Creation

To use certain features of our Service, you must create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

3.2 Account Security

You are responsible for safeguarding the password and for maintaining the confidentiality of your account. You agree not to disclose your password to any third party and to take sole responsibility for any activities or actions under your account.

3.3 Account Termination

We reserve the right to terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.

4. Platform Usage Rules

4.1 Permitted Uses

You may use our Service to:

• Search for and contact service professionals
• List your professional services (if you're a service provider)
• Communicate with other users through our platform
• Leave reviews and ratings for completed services
• Manage your bookings and appointments

4.2 Prohibited Activities

You agree NOT to use the Service to:

• Violate any applicable laws or regulations
• Post false, misleading, or fraudulent information
• Harass, threaten, or abuse other users
• Attempt to circumvent our fees or payment system
• Use automated systems to access the Service
• Post spam, advertisements, or unsolicited messages
• Infringe on intellectual property rights

5. Professional Services

5.1 Independent Contractors

All service professionals on our platform are independent contractors. Heroprox does not employ these professionals and is not responsible for their actions, services, or conduct.

5.2 Service Quality

While we strive to connect you with qualified professionals, we do not guarantee the quality, safety, or legality of any services provided. We encourage users to perform their own due diligence.

5.3 Professional Verification

We conduct basic background checks on service professionals, but these checks do not guarantee the professional's qualifications, reliability, or performance.

6. Payments and Fees

6.1 Customer Payments

Customers pay service professionals directly for their services. Heroprox is not involved in these transactions and does not handle payments between customers and professionals.

6.2 Platform Fees

Service professionals may be charged fees for using our platform. These fees are clearly disclosed during the registration process and may be updated from time to time with notice.

6.3 Refunds

Refund policies for services are determined by individual service professionals. Heroprox does not provide refunds for services rendered by professionals on the platform.

7. Liability and Disclaimers

7.1 Service "As Is"

Our Service is provided on an "AS IS" and "AS AVAILABLE" basis. We make no representations or warranties of any kind, express or implied, regarding the operation of our Service or the services provided by professionals.

7.2 Limitation of Liability

Heroprox shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use of the Service or any services obtained through the platform.

7.3 Maximum Liability

In no event shall Heroprox's total liability to you exceed the amount of fees paid by you to Heroprox in the twelve (12) months preceding the event giving rise to the liability.

8. Intellectual Property

8.1 Our Content

The Service and its original content, features, and functionality are and will remain the exclusive property of Heroprox and its licensors. The Service is protected by copyright, trademark, and other laws.

8.2 User Content

You retain ownership of content you post on our platform. However, by posting content, you grant us a worldwide, non-exclusive, royalty-free license to use, display, and distribute your content in connection with the Service.

9. Privacy and Data Protection

Your privacy is important to us. Our Privacy Policy explains how we collect, use, and protect your information when you use our Service. By using our Service, you agree to the collection and use of information in accordance with our Privacy Policy.

10. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties, or for any other reason.

Upon termination, your right to use the Service will cease immediately. If you wish to terminate your account, you may simply discontinue using the Service or contact us to delete your account.

11. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days notice prior to any new terms taking effect.

Your continued use of the Service after any such changes constitutes your acceptance of the new Terms. If you do not agree to the new Terms, you should stop using the Service.

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions.

12.2 Dispute Resolution

Any disputes arising from these Terms or your use of the Service will be resolved through binding arbitration, except for certain types of disputes specified in our complete Terms of Service.
